a. Client Use: Upon full payment of all fees due, Kod Logic grants clients a non-exclusive, non-transferable license to use the final deliverables for the purpose and scope agreed upon in the service agreement. This license is limited to the specific project for which the deliverables were created.
b. Restrictions: Clients may not reproduce, distribute, modify, or create derivative works from the deliverables or any other IP owned by Kod Logic without our prior written consent. Any unauthorized use of our IP is strictly prohibited and may result in legal action.
c. Third-Party Materials: Any third-party materials used in the deliverables (such as stock images or software) will be licensed to the client under the terms of the respective third-party licenses. Kod Logic is not responsible for any breaches of third-party licenses by the client.
4. Protection of Intellectual Property
a. Copyright: All original content, including but not limited to text, graphics, logos, images, and code, created by Kod Logic is protected by copyright law. Unauthorized copying, reproduction, or distribution of this content is prohibited.
b. Trademarks: The Kod Logic name, logo, and other brand elements are protected by trademark law. Clients and third parties may not use our trademarks without our express written permission.
c. Confidentiality: Any confidential information provided by Kod Logic to the client, including but not limited to designs, concepts, and strategies, remains the property of Kod Logic and must not be disclosed to third parties without our consent.
5. Client Contributions
If the client provides any materials, content, or IP for use in the project, the client warrants that they own or have the necessary rights to use such materials. The client agrees to indemnify and hold Kod Logic harmless from any claims arising from the use of client-provided materials.
6. Protection of Website and Content
The Kod Logic website, including its design, layout, text, images, graphics, and any other content, is protected by copyright, trademark, and other intellectual property laws. Unauthorized use, reproduction, or distribution of any part of the website or its content is strictly prohibited and will be subject to legal action.
7. Infringement and Disputes
a. Reporting Infringement: If you believe that any content on our website or services infringes your intellectual property rights, please contact us immediately with a detailed description of the alleged infringement.
b. Dispute Resolution: Any disputes regarding intellectual property rights will be resolved through negotiation and, if necessary, through arbitration or legal proceedings in the jurisdiction specified in our terms and conditions.
8. Termination of License
Kod Logic reserves the right to terminate any license granted to the client if there is a breach of this policy or the service agreement. Upon termination, the client must cease all use of the licensed deliverables and return or destroy any copies in their possession.
9 . Governing Law
This policy is governed by the laws of Turkey, and any disputes arising from or related to this policy will be subject to the exclusive jurisdiction of the courts of Turkey.
